CONSTITUTION & RULES

Name
Wherever the name of the Club is written it should be in full and shall be MOPAR CONNECTION (NZ) INCORPORATED.

  1. Objectives
    The objectives for which the Club is established are:
    1. To foster the enjoyment, appreciation and preservation of vehicles manufactured by the Chrysler Corporation, popularly known as "Mopar", particularly (but not exclusive to) Muscle Cars and Classics.
    2. To encourage Mopar owners to care for their vehicles, preserve and maintain them to the laws of the land.
    3. To increase growth and development of the Club and its Membership.
    4. To encourage Members to participate in local and national events and support Members where possible.
    5. Promote the value of elective New Zealand Hot Rod Association (NZHRA) affiliation and participate in NZHRA sanctioned events.
    6. To share our enthusiasm and passion for Mopars and other vehicles of the era with other clubs or associations which have similar objectives to those of our organization.
    7. To encourage total family involvement where and when possible.
    8. To assist Members or persons with any questions or queries relating tothe Club, vehicles or upcoming events where possible.
    9. Create a network of supportive camaraderie, sharing our common interest and most importantly ENJOYING OURSELVES.
  2. Obtaining Membership
    1. Intending Members must first apply to the President or Secretary of the Club or alternatively be introduced by a full Member at a general meeting of the Club.
    2. Each intending member (except for those living outside the greater Wellington area) must attend two general meetings before he or she can be considered for full or partner membership of the club.
    3. After an intending member has applied for membership and attended two general meetings of the club, the members will consider to grant the intending member either full or partner membership; whichever is applicable.
    4. On acceptance as a full member or partner member, the applicant will be required to complete a Membership form and pay any subscription fee or part of subscription fee upon acceptance. Membership forms must be signed, fees taken by a Committee Member and a receipt given or posted.
    5. Each Member (other than Partner Member) must own a Dodge, Chrysler, Plymouth, DeSoto, Imperial, or Fargo with these requirements (Mopar-powered vehicles may also be eligible at the discretion of the committee):
      • Stock and modified six or eight cylinder Mopar-powered Classics and Musclecars, pre 1981
      • Modern Mopar-powered Classics and Muscle cars, 1981 onwards (e.g. Viper, Prowler, PT Cruiser, 300M, Charger)
    6. In the event of a paid Member being without a vehicle part of the year subscription was paid, that Member is entitled to retain Membership until the following AGM.
  3. Types of Membership
    1. Full Membership: once accepted and payment of full Membership fee, the Member will have full voting rights at meetings.
    2. Partner Membership: once introduced by a full Member, and accepted by the Committee, the Partner Member will be required to pay half the full Membership fee, but will have the same rights as a full Member.
    3. A full member joining late will be required to pay the appropriate fee, depending on date of acceptance. This can be a half of the yearly subscription fee.
    4. All subscriptions paid for Membership are non-refundable.
  4. Cessation of Membership
    1. Any Member may resign from the Club by notifying the President or Secretary of the Club.
    2. Any Member whose annual subscription is in arrears and unpaid for more than two meetings after the AGM or at such time when fees apply, yearly or part yearly, shall cease to be a Member.
    3. Before any action is taken, the Committee will notify the Member involved to explain his/her behaviour. Any Member whose conduct is considered by the members to be non-conducive to the image of the Club shall have his/her Membership cancelled.
  5. General Meetings
    1. The AGM shall be held on the first scheduled meeting in June of each year.
    2. The business of the meeting shall be to receive the annual report, statements of accounts and balance sheet for the preceding year, to elect and appoint office bearers for the ensuing year, to consider and deal with notices of motion and to transact any other business of the Club.
    3. SGM: A Special General Meeting of the Club (at which business only for which such a meeting was convened may be dealt with) may at any time be summoned by the Committee.
    4. At least seven days notice of every AGM or SGM will be given to each Member in writing, specifying time, date, place, and nature of business to be conducted, any accidental omissions to give a Member notice shall not invalidate proceedings.
    5. The President, or if he/she is absent the Vice-President shall preside at General Meetings, if both are absent, the Members shall appoint another Committee Member as its chairman.
    6. General Meetings shall be held on dates and venues decided on by the Committee.
    7. At General Meetings each Member and Partner Member if present shall have one vote on each question - in the event of an equality of votes, the President or chairperson will have the deciding vote.
    8. Except for contested elections of office bearers provided in these rules, voting at these elections shall be on a show of hands.
    9. The minutes of each General Meeting shall be read and confirmed at the next General Meeting.
  6. The Committee
    1. The management and affairs of the Club shall be vested in a Committee consisting of a President, Secretary, Treasurer and two other Committee Members, shall respectfully hold office until the closing of the first AGM when they shall retire, but be eligible for re-election, then the election of officers will take place.
    2. Elections shall be conducted and declared in the following order - President, Secretary, Treasurer, and other Members, when more than one candidate is nominated for office, the election shall be by ballot.
    3. The office of an officer, or a Member of the Committee, shall cease, if the holder thereof:
      1. ceases to be a Member of Mopar Connection
      2. resigns his/her office
      3. becomes insane or dies
      4. is removed from office by resolution of two thirds of the Members present and voting at a special General Meeting convened for that purpose.
    4. In the case of any such vacancy in the Committee, the Committee may at its discretion order a SGM to appoint a person to fill the vacancy.
      1. The Committee may meet together for dispatch of business, adjourn, or otherwise regulate its meetings as it shall think fit.
      2. The quorum for the Committee shall consist of five Members.
      3. The President shall preside at all Committee Meetings.
      4. A meeting of the Committee shall be convened by the President, Secretary or any of the three Committee Members.
    5. Without prejudice to the general rules conferred upon it, the Committee shall have the power to do all acts and things which it may consider proper or expedient for accomplishing the objects and carrying on the affairs of the Club and in particular have the power to do the following things:
      1. Carry out all contracts entered into by the Club.
      2. To lease any real property.
      3. To purchase any articles as deemed necessary for Club purposes.
      4. To raise money in such manner as the Committee sees fit.
      5. To pay accounts and debts of the Club.
      6. To pay all monies received for or on behalf of the Club into such bank as the Committee decides.
    6. Club Members will only be eligible for nomination to Committee positions if they have been fully paid up, participating Members of the Club for the twelve months prior to nomination.
  7. The Chairperson
    It shall be the duty of the President to preside at all meetings and to hold the Members to order.
  8. The Secretary
    It shall be the duty of the Secretary:
    1. To summon and attend all general meetings and meetings of the Committee.
    2. To keep a true record of proceedings of all meetings of the Club in a book provided for the purpose.
    3. To keep a correct toll of all Members of the Club.
    4. To file all documents, records, reports and communication connected with the business of the Club, and bring them before such meetings as may properly deal with them.
    5. To conduct the correspondence of the Club.
    6. In case of the inability to attend any meeting, to cause the necessary papers to be conveyed to the place of the meeting.
  9. The Treasurer
    It shall be the duty of the Treasurer to:
    1. Collect and account for all subs, levies, and other monies payable to the Club and to bank such monies to the credit of the Club's banking account.
    2. To disburse the monies of the Club under the authority of the Committee.
    3. To submit all accounts payable by the Club to the Committee for approval before payment.
    4. To keep proper account of the financial affairs of the Club.
    5. To prepare and submit to audit the statement of accounts and balance sheet, and present to the AGM.
    6. To ensure that all cheques are signed by two Committee Members. No cheques are to be pre-signed.
  10. Common Seal
    The Club shall have a common seal which will be kept by the Club Secretary and shall not be used unless decided to by the Committee. The President and Secretary shall sign all documents with the common seal on it.
  11. Indemnity
    The Committee and Officers shall be indemnified by the Club against disbursements, expenses, liabilities and losses incurred by them in or about the discharge of their duties except such as from their own wilful act, neglect or default.
  12. Winding Up
    If upon winding up or dissolution of the organisation there remains after the satisfaction of all debts and liabilities any property whatsoever the same shall not be paid or distributed among the members of the organisation. But shall be given or transferred to some other organisation or body with similar objects to the first organisation that also has an income tax exemption or for some other charitable purpose within New Zealand.
  13. Alterations to Rules
    No addition to or alteration of the aims, personal benefit clause or the winding up clause shall be approved without the approval of the Inland Revenue Department. And the provisions and effect of this clause shall not be removed from this document and shall be included and implied into any document replacing this document.
  14. Matters Not Provided For
    If any matter shall arise which is not, or in the opinion of the Committee is not provided for by, or under, these rules, the same shall be determined by the Committee at a SGM called for that purpose.
  15. Privacy Act
    The Club shall comply with the requirements of the Privacy Act 1973, and will ensure that any information regarding its Members or Member Clubs is retained in safe storage within the offices of the Club, and is not passed on to any other individuals or organisation unless by prior consent of the Member or Member Club concerned.
